ERRYGO PARTNER AGREEMENT
Terms governing access to and use of the ErryGo Partner Platform

This Partner Agreement (“Agreement”) is entered into between:
ErryGo Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at [Registered Address] (“ErryGo”, “we”, “us” or “our”); and
the individual accepting this Agreement (“ErryGo Partner”, “you” or “your”).
By selecting “I agree”, you enter into a legally binding agreement with ErryGo and confirm your acceptance of:
This Agreement;
The Partner Privacy Notice;
The Partner Safety and Prohibited Tasks Policy;
The Payout, Cancellation and Reimbursement Policy;
The Grievance and Account Review Policy; and
Any task-specific terms displayed before you accept a Task,
together, the “Platform Terms”.
Each incorporated Policy will carry a version and effective date and will be made available through the Platform or another registered channel. You must review the version in force when you accept this Agreement or a later notified update.
1. Definitions
For this Agreement:
“Approved Expenses” means expenses expressly authorised through the Platform for completing a Task.
“Customer” means a person requesting a Task through the Platform.
“Partner Account” means the verified account issued personally to you.
“Partner Fee” means the amount displayed as payable to you for completing a Task, subject to this Agreement.
“Platform” means the ErryGo Partner application, customer application, website, technology and related systems.
“Platform Records” means records generated through the Platform, including location, route, time, communication, photographs, OTPs, transaction and device records.
“Task” means a request made available through the Platform.
“Task Offer” means the information displayed before you accept a Task.
2. Nature of the Platform
ErryGo operates a technology marketplace that enables Customers to request assistance and independent ErryGo Partners to review and accept Tasks.
Unless expressly stated otherwise in a Task Offer:
You provide the Task service directly to the Customer on a principal-to-principal basis;
You are responsible for performing the accepted Task;
ErryGo facilitates discovery, communication, payments, support and other platform functions; and
ErryGo is not the provider of the underlying Task service, except to the extent otherwise required by applicable law.
You appoint ErryGo as your limited payment-collection agent for amounts collected through the Platform in connection with accepted Tasks. This appointment does not create employment, partnership, agency or authority to bind ErryGo.
3. Eligibility, verification and continuing representations
You represent and warrant that:
You are at least 18 years old and legally capable of entering into this Agreement;
All information and documents submitted by you are genuine, complete, accurate and current;
You are the person identified in the documents and photographs submitted;
You are legally permitted to perform accepted Tasks;
You are not subject to any restriction that would prevent lawful performance;
You will comply with all applicable laws; and
You will immediately inform ErryGo of any material change affecting your eligibility, identity, contact details, payout details or ability to perform Tasks safely.
ErryGo may conduct identity, address, criminal-history, sanctions, document or other verification, directly or through authorised providers, to the extent permitted by law.
ErryGo may require periodic selfie, liveness, OTP, document or other re-verification. Failure to complete verification may result in restricted access.
You must provide information and cooperation reasonably required for statutory registration, reporting or social-security obligations, including reporting to eShram or another government portal.
4. Personal account and absolute prohibition on substitution
Your Partner Account is personal, non-transferable and may be used only by you.
You must not:
Share, lend, rent, sell or transfer your Partner Account;
Share passwords, OTPs or access credentials;
Allow another person to access the Platform in your name;
Ask or permit another person to attend, perform or complete a Task accepted through your account;
Create or operate multiple Partner Accounts;
Use another person’s identity, documents, bank account or UPI ID without lawful authorisation; or
Misrepresent the identity of the person performing a Task.
Every accepted Task must be performed personally by the verified ErryGo Partner whose account accepted it.
Account substitution is a material safety and security breach. If ErryGo reasonably suspects substitution, account sharing or identity misuse, it may immediately cancel an active Task, restrict the Partner Account, hold pending payouts to the extent reasonably necessary, require selfie, liveness, device, document or other re-verification, and preserve relevant records while it investigates.
Where substitution, account sharing or identity misuse is established, ErryGo may permanently terminate the Partner Account, refuse future re-onboarding, restrict linked or duplicate accounts, reverse affected payments, recover Customer refunds and documented direct losses or reasonable investigation costs attributable to the breach, and report the matter to law-enforcement or other authorities where the circumstances reasonably indicate personation, forgery, fraud, identity misuse, theft or another offence.
You are responsible for losses arising from any person whom you knowingly permit to access or use your Partner Account.
5. Task offers and acceptance
A Task Offer may display:
The Task description;
Pickup, destination or service locations;
Timing and estimated duration;
The Partner Fee;
Applicable deductions or conditions;
Approved Expenses; and
Required proof or completion steps.
You are free to accept or decline any Task. ErryGo does not guarantee any minimum number of Tasks, working hours, demand or earnings.
Once you accept a Task, you must:
Review the instructions;
Proceed within the required time;
Perform the Task personally, lawfully and with reasonable skill and care;
Keep the Customer reasonably informed;
Follow required check-in, OTP, proof and completion procedures; and
Notify ErryGo promptly of delay, safety concerns, changed scope or inability to complete.
You must not materially change the Task, price, route, expense or completion arrangement directly with the Customer without recording the change through the Platform or obtaining ErryGo’s approval.
You may refuse or stop a Task that appears unlawful, unsafe, materially misdescribed or beyond your reasonable capability. A good-faith withdrawal for a genuine safety concern will not by itself be treated as misconduct, subject to reasonable verification.
6. Partner earnings
6.1 Task-specific earnings
ErryGo will determine the amount offered to each ErryGo Partner for a Task at its sole commercial discretion, subject to applicable law.
The amount may be determined using the Task requirements and such commercial, operational or other factors as ErryGo considers relevant.
The amount displayed and accepted constitutes the full consideration payable for completing that Task, excluding Approved Expenses and tips. An offer for one Task does not establish any rate, precedent or entitlement for another Task.
6.2 Amount displayed before acceptance
The Platform will display the amount you are expected to receive before you accept a Task. Where deductions or Partner charges apply, the Platform may display them separately or show the resulting net payout.
Once accepted, the displayed payout may be adjusted only where:
The Task is cancelled, not completed or only partially completed;
The scope changes and a revised amount is agreed;
The displayed amount contains an obvious error that is promptly communicated;
Fraud, manipulation, misuse or material misrepresentation is identified;
A Customer payment is reversed due to your conduct;
Customer money or Approved Expenses remain unaccounted for;
A duplicate or erroneous payment was made;
A deduction is required by law; or
An adjustment disclosed before acceptance applies.
6.3 Hourly Tasks and verified time
For an hourly Task, payment will be calculated using the applicable rate and verified active Task time, not solely on the duration reported by you.
Verified active Task time may be determined from Platform Records, including:
Check-in and check-out records;
Location and route information;
Customer confirmations;
Communications;
Photographs, OTPs and completion proof; and
Other reasonably reliable operational records.
Unless authorised, payable time excludes:
Personal breaks;
Deliberate or unnecessary delays;
Unauthorised waiting;
Unreasonable detours;
Time spent offline or away from the Task;
Time after completion; and
Time attributable to another simultaneous engagement.
You must not inflate the duration, delay completion, manipulate location, disable tracking to conceal activity, submit false check-in or completion information, collude with a Customer or another person, or otherwise attempt to increase payment dishonestly.
Use of GPS spoofing, bots, modified software, fabricated proof, repeated images, false bills, false Customer confirmations or any other method intended to manipulate time, distance, expenses, eligibility or payment constitutes a material breach.
ErryGo may correct the payable duration, recover any overpayment, suspend or terminate access and report suspected fraud or other criminal conduct to authorities. You may raise a good-faith dispute regarding calculated time through the grievance process within [seven] days.
6.4 Changes to earnings and charges
ErryGo may introduce, discontinue or revise its earning methodology, fees, charges, deductions, incentives, bonuses, payout structure or other commercial terms from time to time.
Task-specific terms will be displayed before acceptance. Account-level or recurring charges will be communicated before they take effect. Changes will apply prospectively and will not ordinarily be imposed on completed Tasks.
6.5 Tips
Unless otherwise stated in the Platform, you will receive 100% of a voluntary tip given specifically to you, subject to legally required deductions or reversal of a fraudulent, erroneous or unsuccessful payment.
Tips are voluntary and are not guaranteed.
7. Payouts, deductions and recovery
ErryGo will normally initiate payment to your registered UPI ID or bank account within two working days after a Task is completed and verified. This is an intended processing timeline and not a guarantee where verification, banking, payment-provider, legal or operational issues intervene.
ErryGo may temporarily hold all or part of any pending payout, to the extent reasonably necessary, while investigating:
Suspected fraud or manipulation;
Identity or account misuse;
A Customer complaint or chargeback;
An incomplete or disputed Task;
Unaccounted money, property or Approved Expenses;
Incorrect payout information;
A duplicate or erroneous payment;
A legal or regulatory direction;
A banking or payment-system failure; or
Any circumstance in which available evidence is reasonably required to verify entitlement to payment.
ErryGo may require relevant proof, explanation or cooperation before releasing an amount held for verification.
To the extent permitted by law, ErryGo may reverse, claw back, directly recover or set off against present or future payouts any properly documented amount owed by you, including:
Unaccounted Customer advances;
Duplicate or erroneous payments;
Fraudulent earnings;
Chargebacks attributable to your conduct;
Damage or loss caused by your breach, negligence or misconduct;
Taxes or deductions required by law; and
Reasonable Customer refunds, investigation costs or other documented direct losses attributable to your breach, negligence or misconduct.
ErryGo may cancel or reverse an incentive, bonus or promotional payment where its stated conditions were not met or where it was obtained through fraud, manipulation, material misrepresentation or policy breach.
Where disclosed before it applies, ErryGo may maintain a reasonable rolling reserve or delayed-release amount for new Partner Accounts, higher-risk Task categories or objectively identified fraud or chargeback risk. The applicable basis, amount or release condition will be communicated through the Platform and applied subject to law.
ErryGo will ordinarily communicate the broad reason for a material hold or recovery and provide a channel to correct a factual error, except where prior disclosure could compromise safety, evidence, fraud prevention, legal compliance or an investigation.
Termination does not extinguish a valid negative balance or repayment obligation.
8. Customer funds, expenses, documents and property
Customer money, property, documents, payment instruments, access credentials and goods entrusted to you:
Must be used only for the accepted Task;
Do not form part of your earnings;
Must be kept reasonably secure;
Must not be substituted, opened, copied, pledged, retained or used for personal purposes;
Must be supported by bills or proof where requested; and
Must be delivered, returned or accounted for promptly.
Your custody and responsibility continue until the Platform records, or ErryGo otherwise verifies, proper delivery, return or accounting. You must maintain and submit the check-in, OTP, photograph, bill, receipt, signature, Customer confirmation or other chain-of-custody and completion proof required for the Task.
You must not spend your own money unless expressly authorised. Reimbursement is limited to Approved Expenses supported by the required proof.
You must immediately report any loss, theft, damage, suspected counterfeit item, excess cash, mistaken transfer or inability to complete delivery.
An unexplained shortage, unauthorised spending, loss caused by your failure to exercise reasonable care, or misuse of Customer property or money may be treated as a disputed amount and recovered as a documented direct loss to the extent permitted by law. Dishonest retention or use may result in immediate termination, recovery proceedings and referral to law-enforcement authorities.
9. Conduct, dignity and zero-tolerance behaviour
You must behave professionally and respect the dignity, privacy and safety of Customers, merchants, other ErryGo Partners, ErryGo personnel and members of the public.
The following conduct is strictly prohibited:
Sexual assault, sexual harassment, stalking or sexually inappropriate conduct;
Any non-consensual physical contact;
Violence, threats, intimidation, wrongful restraint or confinement;
Theft, extortion, robbery, fraud or deliberate property damage;
Harassment, discrimination or abusive behaviour;
Photographing, recording or entering private areas without lawful need and permission;
Possession or use of unlawful drugs or weapons during a Task;
Performing a Task while intoxicated or materially impaired;
Endangering a child, elderly person or vulnerable individual;
Seeking personal, romantic or sexual contact using information obtained through the Platform;
Retaliating against a person who makes a complaint; or
Any conduct constituting or reasonably indicating a criminal offence.
Such conduct constitutes a material breach and may result in immediate suspension or termination, preservation and disclosure of relevant records, civil recovery and reporting to police or other authorities.
ErryGo’s administrative action is separate from any determination of criminal guilt by the competent authorities.
10. Safety incidents involving Customers or third parties
Customers and third parties do not have authority to require you to perform an unlawful, unsafe or materially undisclosed act.
If you reasonably believe that you face violence, sexual misconduct, confinement, theft, intoxicated behaviour, an unsafe location or another immediate threat, you should:
Stop the Task and move to a safe location;
Contact emergency services, including 112 where appropriate;
Use available in-app safety or support features; and
Report the incident to ErryGo as soon as reasonably possible.
You are not required to physically confront a Customer, suspected offender or dangerous person.
ErryGo may preserve relevant Platform Records, restrict the Customer’s account, support an investigation and cooperate with law-enforcement, insurers or emergency responders, subject to applicable law.
Nothing in this Agreement limits any right you may have against a Customer or third party.
11. Prohibited Tasks
You must not perform a Task that involves or appears to involve:
Illegal goods or activities;
Weapons, explosives, narcotics or hazardous substances;
Human trafficking, sexual services or exploitation;
Unauthorised financial transactions or money laundering;
Forged, stolen or suspicious documents or property;
Transport of a minor without an authorised guardian and express Platform approval;
Medical, legal or regulated activity for which you lack authority;
Entry into a prohibited or manifestly unsafe location; or
Any activity prohibited by the Partner Safety and Prohibited Tasks Policy.
If the nature of a Task becomes suspicious after acceptance, stop safely and contact ErryGo. Do not investigate suspected criminal activity personally.
12. Off-platform activity and protection of the ErryGo brand
You remain free to work independently or through other platforms. However, you must not:
Take an ErryGo Task outside the Platform;
Ask a Customer to cancel and deal with you directly;
Accept an unauthorised off-platform payment for an ErryGo Task;
Share or request a personal QR code, UPI ID, payment link, phone number, social-media account or other contact or payment method for the purpose of bypassing the Platform;
Recreate, continue or substantially repeat an ErryGo Task outside the Platform in order to avoid ErryGo’s charges, records or safeguards;
Use Customer information obtained through ErryGo to solicit personal work;
Use retained Customer information to seek later work or payment outside the Platform;
Perform any service in the name of ErryGo unless it is an active Task accepted through the Platform;
Represent that an off-platform service is authorised, supervised, insured or guaranteed by ErryGo;
Issue any promise, receipt, warranty or commitment on behalf of ErryGo;
Use ErryGo’s name, logo, uniform, identification, content or branding for personal work; or
Hold yourself out as an employee, agent or authorised representative of ErryGo.
This restriction protects confidential Customer information and the integrity of Platform transactions. It does not prevent lawful independent work obtained without using ErryGo’s confidential information, branding or Customer relationships.
Upon suspension or termination, you must immediately stop using ErryGo branding and return or destroy ErryGo-issued material as directed.
13. Travel, vehicles and equipment
You are responsible for selecting a lawful and suitable mode of travel.
If you use an owned, borrowed or rented vehicle, you are responsible for:
Having the legal right to use it;
Holding any required licence;
Ensuring registration, insurance and roadworthiness;
Wearing required protective equipment;
Complying with traffic and parking laws; and
Paying challans, towing charges and penalties arising from your conduct.
You must promptly report any accident, injury, loss or third-party claim occurring during a Task.
You must not transport a Customer or another passenger unless the Task and applicable ErryGo policy expressly permit it and all licence, vehicle and insurance requirements are satisfied.
Unless expressly agreed, ErryGo does not provide a vehicle, phone, fuel, internet connection or other equipment.
Any insurance or welfare benefit facilitated by ErryGo is governed solely by the applicable insurer’s policy and does not replace insurance you are legally required to maintain.
14. Monitoring, fraud prevention and records
To operate the Platform, verify Tasks, calculate payments, protect safety and detect fraud, ErryGo may process Platform Records in accordance with the Partner Privacy Notice and applicable law.
During onboarding, availability and active Tasks, this may include:
Identity and liveness verification;
Device and account information;
Location and route information;
Check-in and completion events;
Communications conducted through the Platform;
Customer feedback;
Payment and expense records; and
Photographs, bills, OTPs and other submitted proof.
ErryGo may compare Platform Records, contact Customers or merchants and conduct audits reasonably required to investigate performance, fraud or safety.
Platform Records will be relevant evidence of Platform activity but may be challenged through the grievance process. You must cooperate with reasonable investigations and must not delete, alter, conceal or fabricate relevant evidence.
15. Data protection and confidentiality
You may access Customer information only to complete an accepted Task.
You must not:
Retain Customer information after it is no longer required;
Copy, sell, publish, disclose or misuse Customer information;
Contact a Customer for an unrelated purpose;
Store Customer documents or photographs outside approved systems;
Share Task information through social media; or
Use Customer data for personal solicitation.
You must promptly report any loss, unauthorised disclosure or suspected compromise of Customer or Platform information.
ErryGo may collect, process, retain and share your personal data as described in the Partner Privacy Notice, including with Customers, verification providers, payment providers, insurers, professional advisers, government portals, eShram, emergency services and law-enforcement authorities where lawful and necessary.
Confidentiality obligations survive termination.
16. Platform licence and prohibited technology use
Subject to this Agreement, ErryGo grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to use the Partner Platform solely for reviewing and completing Tasks.
You must not:
Copy, modify, reverse-engineer or commercially exploit the Platform;
Use bots, scripts, emulators, automation or modified applications;
Interfere with Platform security or operation;
Scrape or extract Platform or Customer data;
Circumvent device, identity or location controls;
Introduce malware or harmful code; or
Use the Platform for an unlawful or unauthorised purpose.
All rights in the Platform, ErryGo name, logo, software and content remain owned by or licensed to ErryGo.
17. Platform eligibility, reliability and Task access
ErryGo may consider Customer feedback, completion, cancellation, reliability, safety incidents, verified fraud indicators, policy compliance, verification status and other legitimate platform-integrity or operational factors when determining eligibility for Task access or account status.
Ratings and performance records do not guarantee particular Tasks, incentives, earnings or continued access.
ErryGo may change, test, suspend or discontinue Task-allocation methods, service areas, Platform features, incentives or programmes. No ErryGo Partner has a vested right to a particular allocation method, ranking, category or volume of Tasks.
18. Independent and non-exclusive relationship
The parties intend to deal on a principal-to-principal basis. You are an independent service provider and not an employee, worker, agent, franchisee or representative of ErryGo, except where applicable law determines otherwise.
You:
Decide when to make yourself available;
May accept or decline individual Tasks;
Are not guaranteed minimum work or earnings;
May provide services independently or through other platforms;
Bear your ordinary operating costs; and
Have no authority to bind or make representations for ErryGo.
Subject to the accepted Task requirements, applicable law, safety rules and required proof, you remain responsible for choosing the lawful method, sequence and route used to complete a Task. You may reject an instruction that falls outside the accepted Task scope.
Nothing in this Agreement waives any non-waivable right or statutory benefit available under applicable gig-worker, platform-worker or social-security law.
19. Suspension, investigation and termination
Your access to the Platform is a conditional and revocable access right. You have no proprietary right to continued access, Task allocation or any particular Platform feature.
19.1 Immediate protective action
ErryGo may immediately restrict or suspend access, cancel Tasks, require re-verification, hold pending payouts to the extent reasonably necessary, or preserve payments and records where it reasonably believes that there may be:
A safety threat;
Sexual misconduct, violence, theft or another serious allegation;
Account sharing, substitution or identity misuse;
Fraud, time manipulation or fabricated proof;
Misuse of Customer money, property or information;
Brand misuse or off-platform diversion;
A material breach of this Agreement;
A legal, regulatory, insurance or law-enforcement requirement;
A risk to a Customer, ErryGo Partner, third party or ErryGo; or
A legitimate need to investigate.
Protective action may remain in place while ErryGo conducts a reasonable investigation or complies with a legal, regulatory, insurance, safety or evidence-preservation requirement. A suspension is precautionary and does not itself determine criminal or civil liability.
19.2 Termination for cause
ErryGo may terminate this Agreement immediately for a material breach, serious misconduct, safety risk, fraud, criminal conduct or legal or regulatory reason.
19.3 Commercial discontinuation
Subject to applicable law, ErryGo may also discontinue or limit your access, in whole or in part, for a legitimate operational, business-restructuring, service-area, platform-integrity, compliance or risk-management reason. Where no immediate safety, fraud, legal or material operational concern exists, ErryGo may provide reasonable notice where practicable.
19.4 Limited account review
ErryGo may make an internal account-review mechanism available to address mistaken identity, material factual error or manifest process error. A review does not create a right to continued access and does not permit a challenge to ErryGo’s pricing, Task-allocation method, service-area decision, product design or other commercial merits, except where applicable law requires otherwise.
19.5 Partner termination and consequences
You may terminate this Agreement at any time by requesting account closure.
Termination does not:
Affect undisputed earnings validly accrued before termination;
Prevent deductions, recovery or investigation permitted under this Agreement;
Extinguish outstanding repayment obligations; or
Affect provisions intended to survive termination.
20. Reporting and cooperation with authorities
ErryGo may report suspected sexual offences, violence, theft, fraud, personation, forgery, criminal breach of trust, threats or other unlawful conduct to police, regulators or other competent authorities.
ErryGo may preserve and disclose relevant identity, location, communication, transaction and Platform Records where:
Required by law, court order or lawful request;
Reasonably necessary to protect a person from serious harm;
Necessary to report or investigate suspected unlawful activity; or
Permitted under the Partner Privacy Notice and applicable law.
ErryGo is not required to provide prior notice where notice is prohibited, could endanger a person or could compromise evidence or an investigation.
You must reasonably cooperate with lawful investigations. Nothing requires you to waive your legal rights or make a self-incriminating statement.
21. Representations, responsibility and indemnity
You are responsible for performing accepted Tasks with reasonable skill, care, honesty and compliance with law.
To the extent permitted by law, you will indemnify, defend and hold harmless ErryGo, its affiliates, directors, officers, employees and representatives from third-party claims, proceedings, losses, damages, penalties and reasonable legal costs arising from:
Your breach of this Agreement;
Your negligence, fraud or wilful misconduct;
Injury, death or property damage caused by your act or omission;
Sexual misconduct, violence, theft or other unlawful conduct by you;
Misuse of Customer money, property or information;
Account sharing or the actions of a person you permitted to use your account;
Off-platform or unauthorised activity;
Traffic violations, vehicle use or failure to maintain required licences or insurance;
Infringement of third-party rights; or
Taxes, statutory dues or penalties for which you are responsible.
This indemnity will apply only to the extent the claim or loss is attributable to you and will not cover loss caused by ErryGo’s fraud, wilful misconduct or negligence.
ErryGo may assume control of the defence of an indemnified claim after giving notice. You must provide reasonable cooperation and must not settle a claim imposing liability or obligation on ErryGo without ErryGo’s written consent.
22. Platform disclaimers
To the maximum extent permitted by law:
The Platform is provided on an “as available” basis;
ErryGo does not guarantee uninterrupted or error-free operation;
ErryGo does not guarantee the accuracy of Customer, merchant, map, route, distance, time or third-party information;
ErryGo does not guarantee the conduct, solvency or reliability of a Customer, merchant or third party;
ErryGo does not guarantee any Task, income, incentive or commercial opportunity; and
Third-party goods, services, payment systems, maps, communications and verification services remain the responsibility of their respective providers.
Estimated distance, duration, route, demand and completion time are indicative and may differ from actual conditions.
Nothing in this clause excludes a warranty or obligation that cannot lawfully be excluded.
23. Limitation of ErryGo’s liability
23.1 Customer and third-party conduct
To the maximum extent permitted by applicable law, ErryGo shall not be responsible or liable for any act or omission of a Customer, merchant, another ErryGo Partner or any third party, including any harassment, assault, sexual misconduct, theft, fraud, violence, property damage or other unlawful conduct.
Such persons act independently and are solely responsible for their own conduct. Any claim arising from their conduct must be pursued against the person responsible.
Any identity verification, rating, safety feature, support service, insurance arrangement, warning or account restriction provided by ErryGo is intended only to reduce risk and does not constitute a representation or guarantee regarding any person’s identity, conduct, safety or reliability.
Nothing in this clause excludes any liability that cannot lawfully be excluded.
23.2 Excluded losses and financial cap
To the maximum extent permitted by law, ErryGo will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, including loss of profit, income, opportunity, reputation or data.
Subject to non-excludable liability, ErryGo’s aggregate liability arising out of this Agreement will not exceed the greater of:
The Partner Fees paid or payable to you during the three months immediately preceding the event giving rise to the claim; or
₹10,000.
Nothing in this Agreement excludes or limits liability for:
ErryGo’s fraud or wilful misconduct;
Death or personal injury directly caused by ErryGo’s gross negligence; or
Any liability that cannot be excluded under applicable law.
24. Taxes and statutory compliance
You are responsible for income tax, GST and other tax or registration obligations applicable to you.
ErryGo may:
Deduct TDS or other amounts required by law;
Request tax or registration information;
Issue or facilitate statements, invoices or documents;
Report payments to authorities; and
Share information required for social-security or government reporting.
ErryGo will comply with non-waivable obligations applicable to an aggregator under gig-worker, platform-worker, social-security and other laws.
25. Force majeure
ErryGo will not be liable for delay, interruption or failure caused by events beyond its reasonable control, including natural disasters, epidemic, war, civil disturbance, strike, government action, legal restriction, internet or telecommunications failure, cyberattack, Platform outage, banking or payment-system failure, fuel shortage or disruption of transport services.
This clause does not excuse payment of undisputed amounts already due where payment remains legally and technically possible.
26. Changes to this Agreement and Policies
ErryGo may update this Agreement or the incorporated Policies to reflect changes in law, business, pricing, safety, technology or Platform operation.
Material changes will be communicated through the Platform or another registered channel before taking effect. ErryGo may require affirmative acceptance of material changes.
Material changes affecting Partner charges, deductions, recurring fees or account access will apply prospectively after notice, except that an immediate change may apply where reasonably necessary for safety, fraud prevention, legal compliance or protection of the Platform.
Task-specific commercial terms apply only when displayed and accepted for the relevant Task.
If you continue using the Platform after notified changes take effect, you will be treated as accepting those changes to the extent permitted by law.
27. Grievances and disputes

ErryGo will review complaints in accordance with applicable law and the Grievance and Account Review Policy.
If a dispute is not resolved within 30 days, the parties will attempt good-faith mediation. If mediation does not resolve the dispute, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration will:
Be conducted by one independent arbitrator mutually appointed by the parties;
If the parties cannot agree, be appointed in accordance with Section 11 of the Arbitration and Conciliation Act, 1996;
Have its seat in New Delhi;
Be conducted in English or Hindi, according to the ErryGo Partner’s reasonable preference;
Permit virtual hearings where appropriate; and
Remain confidential, except where disclosure is legally required.
Nothing prevents either party from seeking urgent interim relief, approaching a statutory authority, reporting a criminal offence or pursuing a matter that cannot legally be resolved by arbitration.
This Agreement is governed by Indian law. Courts in New Delhi will have jurisdiction over arbitration-related and non-arbitrable matters.
28. Notices and electronic records
Operational notices may be delivered through the Platform, push notification, SMS, WhatsApp, email or another registered channel.
Legal notices to ErryGo must be sent to [Legal Email] and [Registered Address].
You consent to contracting electronically. ErryGo may retain electronic records showing:
The Agreement version;
Your verified Partner Account;
The selected language;
Date and time of acceptance;
Device and technical records;
OTP or other authentication; and
Subsequent acceptance of amended terms.
Electronic acceptance and records will have the effect permitted by applicable law.
29. Assignment, waiver and severability
You may not transfer, assign, subcontract or delegate your Partner Account, an accepted Task or any right or obligation under this Agreement.
ErryGo may assign or transfer this Agreement to an affiliate, successor, purchaser or entity acquiring all or part of the relevant business, subject to applicable law.
Failure to enforce a provision immediately is not a waiver.
If a provision is found unlawful or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue.
No third party has a right to enforce this Agreement except an indemnified ErryGo party.
30. Entire agreement, priority and survival
This Agreement and the incorporated Platform Terms constitute the complete agreement governing your use of the Partner Platform.
In case of conflict:
Applicable law prevails;
A Task Offer prevails for the specific commercial terms of that Task;
This Agreement prevails over a general Policy; and
A specific Policy prevails over another general Policy concerning the same subject.
Provisions concerning payments, recovery, confidentiality, Customer data, intellectual property, indemnity, liability, disputes and electronic records survive termination.
31. Acceptance
By selecting “I agree”, you confirm that:
You have received access to this Agreement;
It was made available in a language selected by you;
You have had the opportunity to read it or have it explained;
You understand that only you may use your Partner Account;
You understand that earnings are Task-specific and no minimum earnings are guaranteed;
You understand the rules concerning verified time, expenses and fraud;
You agree to the incorporated Platform Terms; and
You intend to be legally bound.
